DIRECTOR BIOGRAPHIES

 

Michael S. Parrett, Chair and Director, has been a director of Centerra since May 2014 and was appointed Chair in October 2019. Mr. Parrett is an independent consultant and corporate director and previously served on the board of directors of Stillwater Mining Company from 2009 to 2017. Prior to that, he served on the boards of Pengrowth Energy Corporation, from 2006 to 2016, Gabriel Resources Limited from 2003 to 2010 (including as Chairman from 2005 to 2010) and Fording Canadian Coal Trust from 2003 to 2008. Previously, Mr. Parrett served as Chief Executive Officer of Billiton Base Metals and was President and Chief Financial Officer of Rio Algom Limited and, prior to that, Chief Financial Officer of Falconbridge Limited. Mr. Parrett is a Chartered Professional Accountant and received his Bachelor of Arts degree in Economics from York University.

Mr. Parrett is the Chair of the Nominating and Corporate Governance Committee and is a member of the Audit Committee and the Human Resources and Compensation Committee.


Bruce V. Walter, Vice Chair and Director, is currently Chairman of Nunavut Iron Ore, Inc. and serves as Vice Chair of Centerra Gold (part-time). From 2002 until 2007, Mr. Walter was a director and officer of Dynatec Corporation, initially as Vice-Chairman and from 2005 as President and CEO. Prior thereto his career included serving as President of Sherritt Inc., President and CEO of Plaintree Systems Inc., and Managing Director and Co-Head of the Media, Telecom & Technology investment and corporate banking group at BMO Nesbitt Burns. Mr. Walter also served as Vice-President of Horsham Corporation and was a partner in the predecessor law firm to Davies Ward Phillips & Vineberg LLP. Mr. Walter received his Juris. Doctor (J.D.) and Master of Business Administration degrees from York University in 1981. He received his PhD in law in 1985 from the University of Cape Town. Mr. Walter currently serves on the National Advisory Board of The Salvation Army.

Mr. Walter is a member of the Technical and Corporate Responsibility Committee.


Richard W. Connor, Director, has over 25 years of experience as an audit partner with KPMG LLP in the United States, principally for publicly traded clients in a variety of industries, including Energy and Mining, and Media and Telecommunications. Mr. Connor retired from KPMG LLP in 2009, where he served as the Office Managing Partner of the KPMG Denver Office from 1996 to 2008. Mr. Connor was elected to the partnership in 1980 and was appointed to the firm’s SEC Reviewing Partners Committee in 1987, where he served until his retirement. Mr. Connor earned his BS degree in Accounting from the University of Colorado.  Mr. Connor currently serves on the Board of Directors and as chairman of the audit committees of Antero Resources Corporation, an independent oil and natural gas company headquartered in Denver, Colorado,  Antero Resources Midstream Management LLC, the general partner of Antero Midstream Partners LP, a publicly listed master limited partnership listed on the New York Stock Exchange and of the Zayo Group LLC, a provider of bandwidth infrastructure and colocation services headquartered in Boulder, Colorado.

Mr. Connor is the Chair of the Audit Committee and is a member of the Nominating and Corporate Governance Committee and the Human Resources and Compensation Committee.


Wendy Kei, Director, is an accomplished finance executive with over 25 years of business experience across multiple industries. She currently serves as Board Chair for Ontario Power Generation Inc. (OPG), serves on the board of NFI Group Inc. and is the Chair of the Audit Committee for Noranda Income Fund (TSX: NIF.UN).

In 2022, Ms. Kei was honoured as a Fellow from the Institute of Corporate Directors (F.ICD), named BMO Celebrate Women on Boards 2022 Honouree and in 2020, she was selected one of Canada’s Top 100 Most Powerful Women and was honoured as a Fellow Chartered Professional Accountant (FCPA-FCA) designation. In 2016, she was selected as a Diversity 50 Candidate by the Canadian Board Diversity Council.

Ms. Kei is a Fellow of the Chartered Professional Accountants of Ontario, holds a Fellow designation from the Institute of Corporate Directors and holds a Bachelor of Mathematics from the University of Waterloo.

Ms. Kei is a member of the Audit Committee and the Nominating and Corporate Governance Committee.


Jacques Perron, Director, has worked in the mining industry for more than 35 years and has extensive technical and operations experience. Mr. Perron was appointed as a director of Centerra Gold in October 2016. Previously, he was President and Chief Executive Officer at several mining companies including Pretium Resources Inc., Thompson Creek Metals Company Inc., and St Andrew Goldfields Ltd. and has held senior executive roles at several other mining companies prior thereto. Mr. Perron is also a member of the Board of Directors for Franco-Nevada Corp. as a Director and is the Chair of the Canadian Mineral Industry Education Foundation.

Mr. Perron has a Bachelor of Science degree in Mining Engineering from l'École Polytechnique de Montréal.

Mr. Perron is the Chair of the Technical and Corporate Responsibility Committee.


Sheryl K. Pressler, Director, is currently an investment and strategy consultant in Atlanta, Georgia. From 2000 to 2001, she served as Chief Executive Officer of Lend Lease Real Estate Investments-United States. From 1994 to 2000, she served as Chief Investment Officer of California Public Employees’ Retirement System. Prior thereto, she was responsible for the investment management of the retirement funds for the McDonnell Douglas Corporation. Ms. Pressler received a Bachelor of Arts degree from Webster University and a Master of Business Administration degree from Washington University. Ms. Pressler served on the board of directors of Stillwater Mining Company from 2002 until 2013 and currently serves on the board of directors of Voya Investment Management.


Paul N. Wright, Director, was appointed as a director of Centerra in May 2020. Mr. Wright has over 33 years of experience in developing and operating open pit and underground gold mines. Mr. Wright retired from Eldorado Gold Corp. in April 2017 after 21 years, where he served as President and CEO starting from October 1999. Prior to his tenure at Eldorado, he worked with Placer Dome, the Redpath Group and Granges. Mr. Wright is a Chartered Engineer (UK) and obtained his B.Sc. Mining Engineering from Newcastle University.


Susan L. Yurkovich is Senior Vice President of Global Business Development at Canfor Corporation, a leading manufacturer of forest products with operations in Canada, the US and Europe. She has worked in the natural resources sector for more than 25 years, including executive roles in both forestry and energy. She currently serves as a Director of Fortis BC and Vancouver College, and a member of the Faculty Advisory Board at the Sauder School of Business at the University of British Columbia (UBC). Ms. Yurkovich holds a Bachelor of Arts and a Masters of Business Administration from UBC, and a diploma in international business from Erasmus University, Netherlands and the ICD.D designation from the Institute of Corporate Directors.

Ms. Yurkovich is Chair of the Human Resources and Compensation Committee and a member of the Nominating and Corporate Governance Committee and the Technical and Corporate Responsibility Committee.


MANAGEMENT BIOGRAPHIES

 

Paul Tomory, President and Chief Executive Officer

Mr. Tomory, has over 25 years of experience in mining, engineering and construction and was appointed Centerra’s President & CEO effective May 1, 2023. Prior to his appointment, he was Executive Vice President and Chief Technical Officer of Kinross Gold Corporation, where he worked for over 14 years in a series of progressive technical roles. Prior to Kinross, he worked as a consultant at Bain & Company and Golder Associates. Mr. Tomory is a professional engineer from the University of Toronto and holds a Master of Business Administration from the University of Toronto’s Rotman School of Management.


Paul Chawrun, Executive Vice President, Chief Operating Officer.

Paul joined Centerra in September 2022 as Vice President and Chief Operating Officer and is a mining engineer with over 30 years of wide-ranging experience in the industry. Prior to joining Centerra, his most recent executive position was as Chief Operating Officer of Teranga Gold Corporation, which created significant shareholder value by building up a small single asset producer growing to mid-tier status through successful major project construction, five consecutive years delivering record production and with exceptional Environmental, Social and Governance performance. His prior previous work experience includes positions in operations at Fording and Suncor Energy, as well as technical services and corporate development roles at various mine development companies including Director of Technical Services for the development of the Detour Gold project. Paul initially started his career as an exploration geologist for Corona Corporation.

Paul is a professional engineer with a B.Sc. in Mining Engineering from Queen’s University, also holding a B.Sc. in Geology from McMaster University and a Master of Business Administration from Athabasca University.


Claudia D’Orazio, Executive Vice President, Chief Human Resources & Technology Officer

Claudia has over 25 years experience as a Senior Executive and has an extensive background in human resources, risk management, internal audit, information technology, supply chain management, integrations, treasury and finance. Claudia joined Centerra Gold Inc. in February 2020 as Vice President, Chief Human Resources Officer. Prior to joining Centerra, Claudia held several executive roles at Pembina Pipeline Corporation from 2006 to 2020 including, Corporate Controller, Vice President & Treasurer, Vice President Risk and Compliance and most recently, was Vice President Human Resources. She was a champion of change management, transformational leadership development, diversity and inclusion, health and wellness and led multiple management and employee initiatives. From 1994 to 2006, Claudia worked with the Royal Bank of Canada and held several progressive senior roles in Calgary, Toronto and Montreal. Claudia obtained her CPA designation while working at KPMG from 1991 to 1994.

Claudia holds a Bachelor of Commerce, specializing in Accounting & Management Information Systems from McGill University (1991) and has her CPA designation.


Darren J. Millman, Executive Vice President, Chief Financial Officer

Darren has over 18 years of experience in financial management, auditing and the mining industry.  In April 2016, Darren was promoted to Chief Financial Officer.  Darren joined Centerra in 2013 as Treasurer and was promoted to Vice President, Finance and Treasurer in January 2015.  Prior to joining Centerra, Darren was General Manager Finance and Company Secretary at Ivanhoe Australia from 2007 to 2012, where he gained valuable experience with listing Ivanhoe on the ASX and TSX and led the financing activities.  From 2000 to 2007 Darren worked with KPMG as Senior Manager, in Canada, and held several progressive senior roles in Australia and the U.K., predominately working with mining and construction corporations.  From 1997 to 1999, he worked as an Accountant for Hall Chadwick in Melbourne, Australia.

Darren holds a Bachelor of Business, Accounting from Victoria University (1999).  Darren is a Chartered Accountant, Institute of Chartered Accountants of Australia (2003).  He also has a Graduate Diploma of Applied Corporate Governance from the Institute of Chartered Company Secretaries of Australia (2010).


Dennis C. Kwong, Executive Vice President, Business Development

Dennis joined Centerra Gold Inc. in October 2008. In this role, Dennis directs the activities focused on non-organic growth of the organization by identifying, evaluating, recommending, and negotiating value-adding business opportunities including corporate acquisitions.

Dennis has a solid career in business development and finance. After pursuing his Masters of Science at McGill University and his MBA at University of Toronto, he joined PriceWaterhouseCoopers, during which time he obtained his Chartered Accountant designation. Dennis joined Noranda (subsequently Falconbridge and Xstrata) in 2002 as a Business Development Analyst where he assisted with their business strategy for China. Over his career at Xstrata he advanced to several positions of greater responsibility. Prior to joining Centerra Dennis' last position was at Xstrata's Nickel division as Director, Business Development and he was pivotal in establishing the financing package for their Koniambo nickel project in New Caledonia.


Yousef Rehman, Executive Vice President, General Counsel & Corporate Secretary

Yousef joined Centerra in 2013 as Senior Legal Counsel and was promoted to Vice President and General Counsel in January 2018. He is responsible for management of the company's global legal affairs and, since joining Centerra, he has been involved in all of the Company’s significant strategic initiatives. Prior to joining Centerra, Yousef worked as in-house legal counsel at a Canadian transportation company and, prior to that, practiced law at Stikeman Elliott LLP, where he worked in the areas of corporate finance and mergers and acquisitions, especially in the natural resources sector.

Yousef received his J.D. from University of Toronto in 2006 and his B.Comm from the University of Toronto in 2003 and was called to the Ontario Bar in 2007.
